ABOUT US
The Dentsply Sirona ONE DS Loyalty Program (the “Program” or “Loyalty Program”) is a loyalty rewards Program offered by DENTSPLY IH LIMITED (“we”, “us”, “our”) to eligible customers based in the UK. The Program is accessible at www.dentsplysirona.com (the “Site”).
We are registered in England and Wales under company number 01480123 and have our registered office at Brunel Way, Stonehouse, Gloucestershire, GL10 3GB. Our VAT number is 391900742.
The Program allows eligible customers (each a “Program Member”) to collect ONE DS Loyalty Points (the “Loyalty Points”) when making purchases of eligible items sold online by us at the Site (including out of stock items) (“Eligible Purchases”) and to redeem those points against future orders, always in accordance with these terms and conditions and any other terms referenced in this document (the “Program Terms”). Please read this document carefully and ensure you understand these Program Terms before agreeing to join the Program. By joining the Program, you agree to be bound by these Program Terms.
In these Program Terms references to “you” or “your” are to the Program Member who participates in the Program.
PROGRAM TERMS
We may, at our sole discretion, restrict, suspend, amend, extend or otherwise alter the Program and/or the Program Terms at any time and without prior notice to you, including any member levels or rates for Loyalty Points included in the Program.
If the Program Terms are updated, we will post the new Program Terms on the Site and note the date that they were last updated. In case the Program would be suspended or terminated without prior notice to you, you will have the right to redeem your Loyalty Points from the date that the suspension or termination of the Program will be posted on the Site. We encourage all Program Members to review the Program Terms each time they access the Site or seek to earn and redeem Loyalty Points.
You understand and acknowledge that the Program is intended to be a promotional Program. Redemption of Loyalty Points earned on Eligible Purchases represents credit towards future purchases made by you. Accordingly, you acknowledge that, to the extent required by law, you must: (i) fully and accurately disclose the amount of such credit in any cost report or claim for reimbursement submitted to the NHS or equivalent healthcare institution; and (ii) comply with any request to provide documentation of the credit to representatives of the NHS or other equivalent healthcare institution.
Our Conditions of Sale and Returns Policy continue to apply to the sale of products via the Site and in the event of a conflict between the Conditions of Sale and these Program Terms, these Program Terms shall prevail with respect to the Program only.
MEMBERSHIP
Membership is free and no initial purchase is required in order to become a Program Member.
Minimum requirements
Membership to the Program is only available if: (a) you are a registered dental or healthcare professional in the UK, and are registered with the General Dental Council (“GDC”) and hold a valid medical practitioner licence; and (b) you are purchasing products for your own business use and not for resale; or (c) you are purchasing on behalf of a dental or healthcare professional who satisfies the requirements at (a) and (b) above; and (d) you are over the age of 18.
You may be required to provide us with your GDC registration number and VAT number (or evidence of your VAT exemption) when you set up your Account with us.
Eligibility
If you are a new customer to the Site or an existing Dentsply Sirona customer but not a member of our Loyalty Program, when you create a Practice Account or Commercial Account with us via the Site you will be given the option to join the Program, or to opt-out. In order to opt-in you must accept these Program Terms.
If you opt-out of the Program when setting up your Account you will not be able to earn Loyalty Points or view any of the ONE DS Loyalty webpages in the My Account area.
If you opt-in and then later opt-out at any time during your membership, you will still be able to view the ONE DS Loyalty webpages, but you will not be permitted to earn or redeem any Loyalty Points, In addition, you will forfeit any remaining balance of Loyalty Points in your Account as at the date you opt-out and your balance will revert to zero.
If you are (or represent) a government institution, university, dental school, hospital or corporate group or dental services organization (DSO), with a trade agreement in place with us, you are not eligible to participate in the Program.
If, at the time, when in May 2025, the Program changed from DS Points Plus Program to the ONE DS Loyalty Program, your Earning Tier and Loyalty Points Balances will be automatically carried over with no penalty or reduction in earning potential or tier spend requirements. Any existing migrated Loyalty Points will be re-set and have a 2 year expiry applied, regardless of the previous expiry due date.
We reserve the right, in our sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to us): (i) for the purposes of verifying your eligibility to participate in the Program; (ii) for the purposes of verifying the legitimacy and/or accuracy of information you provide to us; and (iii) for any other reason we deem necessary for the purposes of administering the Program. Failure to provide such proof to our reasonable satisfaction, within the timeline specified by us, may result in your disqualification from the Program.
YOUR ACCOUNT
In order to participate in the Program you will have to register and create an Account with us and provide one or more names, email addresses, login usernames and passwords (collectively, “ID”). You are responsible for maintaining the confidentiality of your ID. You agree not to use the ID of any third party or disclose your ID to any third party. You are responsible for any and all activity that occurs on your Account. If you suspect any unauthorised use of your Account, you must notify us immediately and we will try to suspend further access to your Account and allow you to change your ID.
We assume no liability or responsibility for Loyalty Points redeemed by any unauthorised person through your Account prior to you notifying us that your Account has been compromised. Any Loyalty Points redeemed prior to notification are at your own risk.
You agree to provide us with correct and complete Account information at all times and to inform us of any changes to the information you have provided. We will keep your ID confidential.
Please note, there is a limit of one Account per dental practice and we reserve the right to reject any application for, and/or to suspend, an Account if we suspect there are multiple Accounts at one practice.
Suspension and Account Closure
If we believe you have abused any of the Program’s privileges, or you fail to comply with any of these Program Terms, or make any misrepresentation to us, we may, in our sole discretion, take such action as we deem appropriate, including suspending your privileges under the Program, revoking any or all of your Loyalty Points, and/or revoking your participation in the Program altogether and closing your Account, in each case, with or without advance notice to you.
Loyalty Points will not be awarded if in our reasonable opinion the products purchased with your Loyalty Points will be used for resale or non-clinical use.
An Account is deemed to be inactive if Loyalty Points are not earned in connection with such Account for a period of two (2) years after the opening of the Account. Once an Account is deemed to be inactive, all Loyalty Points in such Account may, in our sole discretion, be deemed to have been forfeited by you, with or without notice.
You may elect to opt-out of participation in the Program at any time. In the event you no longer wish to participate in the Program, you may withdraw through the ‘My Account’ section on the Site by ‘unselecting’ participation in the Dentsply Sirona Points Plus Program and clicking okay to remove the practice account from the Program. Once you elect to no longer participate in the Program, no further Loyalty Points will accrue on purchases made on the Site. Any Loyalty Points in your Account as of such time will be automatically reduced to zero (0) and forfeited.
LOYALTY POINTS
Member level; Collection
We will award Loyalty Points on Eligible Purchases based on your member Tier level, as shown on the ONE DS Loyalty Benefits page.
Your member Tier level will be determined based on your annual spend on the Site through your Account. Member Tier levels are reviewed and updated automatically based on annual, 12 month calendar account spend via the Site. Once your account moves up a member Tier level, you will not move down a level, even if you do not maintain the required spend associated with that member Tier level in the next 12 month calendar period. On January 1st of each calendar year, your annual account spend will reset to zero and a new spend/earning cycle will commence. If you have no spend history via the Site or are a new Account Registration, you will automatically be assigned Cobalt level.
Points can be earned by you in connection with Eligible Purchases, regardless of method of payment, provided that you are logged into your Account at the time of purchase. We aim to ensure Loyalty Points are awarded to your Account within 24 hours of you placing the order, but this cannot be guaranteed. No Loyalty Points accrue on purchases made via the Site unless and until your Account has been approved and activated by us. Loyalty Points cannot be added to your Account retroactively. Orders placed with us through any medium other than our Site do not earn Loyalty Points.
If any Eligible Purchase is to be fulfilled by your nominated dental dealer (as notified to you when you select your product), and such dealer:
• is integrated with our Site, Loyalty Points will be calculated and earned based on the final price charged to you by the dental dealer; or
• is not integrated with our Site, Loyalty Points will be calculated and earned based on the RRP of such product (as published on our Site at the time you place your order – save in the case of manifest error).
If, at the time, when in May 2025, the Program changed from DS Points Plus Program to the ONE DS Loyalty Program, your Earning Tier and Loyalty Points Balances will be automatically carried over with no penalty or reduction in earning potential or tier spend requirements. Redemption
Loyalty Points can be redeemed against the purchase price of future orders for eligible products that you place using your Account via the Site. In order to redeem Loyalty Points on a purchase, you must have sufficient Loyalty Points to cover the entire purchase price of the product (which includes delivery costs) at the time of redemption.
The redemption rate for Loyalty Points is the same across all member levels: 0.01 GBP/EUR per Loyalty Point.
Please note, Loyalty Points can only be redeemed against products available for purchase in the Online Shop area of our Site and fulfilled directly by Dentsply Sirona, with the exception of controlled Pharmaceutical Products or other products prohibited or otherwise restricted by applicable law, and cannot be transferred or used in part-payment and have no cash value. Where orders are to be fulfilled by your nominated dental dealer, Loyalty Points cannot be used as a form of payment to the dental dealer. The order will instead by converted from a dealer supplied product order to a Dentsply Sirona supplied redemption product order.
Loyalty Points will expire 2 years after the date they were earned unless redeemed before that date.
Return/Exchange Policy
In the event of a return or exchange of any product that earned Loyalty Points, such Loyalty Points will be deducted automatically from the Account that was used for the purchase. Loyalty Points will be deducted at the same rate as they were earned.
We are unable to credit or exchange Products redeemed using your Dentsply Sirona Loyalty Points unless there is a fault with the Product, subject to applicable law. We reserve the right to remove any Dentsply Sirona Loyalty Points earned on cancelled or returned orders.
Transferability
Loyalty Points cannot be assigned, exchanged, traded, bartered, purchased or given by gift or otherwise sold (this includes any transfers to your estate, successors or heirs). Any Loyalty Points so acquired are void.
Promotion
From time to time, we may advertise or run exclusive offers to select Program Members to earn or redeem Loyalty Points. Full details of those promotions will be published on our Site at the time.
LIABILITY
We do not guarantee the continued availability of any reward, redemption level, or any other benefit under the Program, and we assume no liability with regard to the addition or deletion of items from or for which Loyalty Points can be collected and/or redeemed.
Loyalty Points earned through participating in this Program may be subject to tax. You are solely responsible for any tax liability which may arise and for any other fees charged by governmental or non-governmental agencies as a result of your participation in the Program. Without prejudice to the foregoing, you are personally liable for any and all costs, charges, claims or liabilities of whatever nature arising from your membership of the Program.
We will not be liable to you for any loss of profit, goodwill, reputation or opportunity howsoever incurred (including, without limitation, as a result of our negligence or as a result of the termination of, or changes to, the Program or as a result of the cancellation or revocation of Loyalty Points and/or the membership of any Program Member).
Our liability in all other respects (save for death or personal injury caused by negligence on our part, or other limitations imposed by applicable law) shall be limited to the value of the Loyalty Points which are the subject of the dispute.
Except as expressly stated in these Program Terms, we do not give any representations, warranties or undertakings in relation to the Program. Any representation, condition or warranty which might be implied or incorporated into these Program Terms by statute, common law or otherwise is excluded to the fullest extent permitted by law.
PRIVACY
We are committed to protecting your privacy. We will maintain the privacy and security of all personal information collected from Program Members in accordance with our Privacy Policy available at UK privacy policy.
GENERAL
In the event that any provision in these Program Terms is determined to be invalid, illegal, or unenforceable, such determination shall not affect the validity and enforceability of any other remaining provisions of these Program Terms.
We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Program Terms that is caused by any act or event beyond our reasonable control.
These Program Terms will be governed by English law. Any dispute arising from, or related to, these Program Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
