These Terms of Use constitute a legally binding agreement made between you, (“you”) and Dentsply Sirona (“we,” “us” or “our”), concerning your access to and use of the Site as well as any other media form, linked, or otherwise connected thereto. Your access to and use of www.dentsplysirona.com (the “Site”), including any content, functionality and services offered on or through the Site, is subject to the following Terms of Use and all applicable laws. Please read these Terms of Use carefully before you start to use the Site. You agree that by clicking on “I Agree”, you shall be deemed to have read, understood, and agree to be bound by all of these terms and conditions of use. By accessing and browsing the Site, you accept, without limitation or qualification, and agree to all the provisions, disclosures and disclaimers and are bound by these Terms of Use and the Privacy Policy and acknowledge that any other agreements between you and DENTSPLY SIRONA regarding this subject matter are superseded by these Terms of Use. If you do not agree to these Terms of Use or the Privacy Policy, you may not use the Site. If you click on “Disagree”, then you are expressly prohibited from using the Site and you must discontinue the use immediately. It is hereby clarified that continued use of the Site will constitute as unconditional acceptance of the Terms of Use, as may be amended from time to time. You also agree to comply with the following additional policies and each of the other agreements that apply to you including but not limited to any privacy policy and other general terms and conditions.

Informational Purposes Only.

The Site is not for medical emergencies. You must be at least 18 years of age to use the website. You agree to be solely responsible for (i) maintaining such controls over the use and/or access to the Site by minors in your family or (ii) having access to your computer or login limited to the extent necessary to restrict use to adults.

This Site may from time to time contain information relating to various medical, health and fitness conditions of people. Right to Use Site.

If you print, copy, modify, download or otherwise use or provide any other person with access to any part of the Site in breach of the Terms of Use, your right to use the Site will cease immediately and you must, at DENTSPLY SIRONA’s option, return or destroy any copies of the materials you have made and submit a certificate of destruction. No right, title or interest in or to the Site or any content on the Site is transferred to you, and all rights not expressly granted are reserved by DENTSPLY SIRONA. Any use of the Site not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark and other laws.

The trademarks, logos, product and service marks, designs and slogans, whether registered or unregistered (collectively the “Trademarks”) displayed on the Site are Trademarks of DENTSPLY SIRONA and its affiliates, licensors or their respective owners. Nothing contained on the Site should be construed as granting, by implication, estoppel or otherwise, any license or right to use any Trademark displayed on the Site without the written permission of the Trademark owner. Your use of the Trademarks displayed on the Site, or any other content on the Site, except as provided in these Terms of Use, is strictly prohibited. The list found here contains Trademarks of DENTSPLY SIRONA and those affiliates of DENTSPLY SIRONA, as well as Trademarks used under license by DENTSPLY SIRONA or by affiliates of DENTSPLY SIRONA (DENTSPLY SIRONA fully acknowledges the rights of third parties in such marks). In order to improve readability, DENTSPLY SIRONA may not use ™ or ® in the running text or on pictures and other images on this Site, either for its own Trademarks or for the Trademarks of third parties. By doing so, however, DENTSPLY SIRONA does not waive any rights to its trademarks.

Any unauthorized commercial use of these materials will violate DENTSPLY SIRONA’s intellectual property rights and will be subject to DENTSPLY SIRONA’s full legal rights and remedies.

You are not granted the right to license, republish, distribute, copy, assign, sublicense, transfer, sell, prepare of derivative works or other non-personal use any Content on the Site. Intellectual Property Rights

Nothing contained on the Site maybe copied or construed as granting any license or right to use any Content and/or intellectual property without our prior written permission. Governing Law

All matters relating to the Site and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of India. Any legal suit, action or proceeding arising out of, or related to, these Terms of Use or the Site shall be subject to the exclusive jurisdiction of Courts in India.

Geographic Restrictions

We provide the Site for use only by persons located in India. We make no claims that this Site or any of its content is accessible or appropriate outside of India. Access to the Site may not be legal by certain persons or in certain countries. If you access the Site from outside India, you do so on your own initiative and are responsible for compliance with local laws.

Disclaimer of Warranties

You understand that we cannot and do not guarantee or warrant that the Site or any files downloaded from will be free of viruses or other destructive code. In no event will DENTSPLY SIRONA, our affiliates or our licensors, service providers, employees, agents, officers or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Site, any websites linked to it, any content on the Site or such other websites including any direct, indirect, special, incidental, consequential or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.

The foregoing does not affect any liability which cannot be excluded or limited under applicable law.

Limitation on Liability

In no event will DENTSPLY SIRONA, our affiliates or our licensors, service providers, employees, agents, officers or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Site, any websites linked to it, any content on the Site or such other websites or any services or items obtained through the Site or such other websites, including any direct, indirect, special, incidental, consequential or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.

Indemnification

You agree to indemnify, defend and hold DENTSPLY SIRONA and its directors, officers, employees, contractors business partners, staff and affiliates (collectively, the “DENTSPLY SIRONA Parties”) harmless from any liability, loss or damage incurred in the event of any failure or interruption of the Site, claim and expense, including reasonable attorneys’ fees, expert witness fees, and expenses, resulting from your breach of any of the foregoing provisions, representations or warranties related to either your violation of these Terms of Use or your use of the Site. You will indemnify and hold DENTSPLY SIRONA Parties harmless from and against any claim, demand, suit or proceeding brought against DENTSPLY SIRONA Parties arising from or in connection with violations of copyright or other intellectual property or other rights of third parties contained in your User Submissions and/or any other violation of law or breach of contract obligations relating to the User Submissions or your inability to access the Site, whether or not the circumstances giving rise to such cause may have been within the control of DENTSPLY SIRONA Parties or of any vendor providing software or services support.

You will indemnify and hold DENTSPLY SIRONA Parties harmless from and against any claims, damages and costs resulting directly or indirectly from the use, disposition, reproduction, publication or public communication of the User Submission.

Arbitration

At DENTSPLY SIRONA’s sole discretion, it may require you to submit any disputes arising from these Terms of Use or use of the Site, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, to final and binding arbitration under as per the provisions of the Arbitration and Conciliation Act, 1996 and any statutory amendments/modification thereof. Such Arbitration shall be by a sole arbitrator mutually appointed by DENTSPLY SIRONA. The Arbitrator shall pass a reasoned award in writing, which shall be final and binding upon you. The Arbitration proceedings shall be conducted in the English language and seat of the Arbitration shall be Mumbai, India and the cost towards the same shall be equally borne by DENTSPLY SIRONA and you.

Waiver and Severability

No waiver by DENTSPLY SIRONA of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of DENTSPLY SIRONA to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision. If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect. If any unlawful and/or unenforceable provision of these terms and conditions would be lawful or enforceable if part of it were deleted, that part will be deemed to be eliminated, or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Assignment

You hereby agree that we may assign, transfer, sub-contract or otherwise deal with our rights and/or obligations under these Terms of Use.

You may not without our prior written consent assign, transfer, sub-contract or otherwise deal with any of your rights and/or obligations under these Terms of Use.

Enitre Agreement

These Terms of Use and the Privacy Policy constitute the sole and entire agreement except as otherwise specified between you and DENTSPLY SIRONA with respect to the Site and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Site.
